Faraday Future Robotics Term Sheet Is a Proposal

Faraday Future has proposed selling its robotics business to AIxCrypto for about $200 million in stock, but the deal remains non-binding.

The Faraday Future robotics term sheet would move the company's robotics business into majority-owned AIxCrypto Holdings in a stock transaction valued at about $200 million. The companies' boards approved the proposal, but it is not a completed sale. The filing says it still needs diligence, definitive agreements, special-committee approval, and other closing steps.[1]

The proposal came with a September 28 announcement from AIxCrypto, which says it expects to rename itself FF EAI Robotics Ecosystem Inc. and use the Nasdaq symbol FFR on September 30. A name and ticker change does not close the acquisition.[2]

Is the Faraday Future robotics deal complete?

No. The Faraday Future robotics term sheet is a proposed related-party transaction between Faraday Future and AIxCrypto, its majority-owned subsidiary. Faraday Future and AIxCrypto signed it on September 25, according to Faraday Future's September 28 Form 8-K.[1]

"The transaction is subject to diligence, definitive agreements, and approval of the Company's special committee."

That language matters more than the headline value. The parties have not announced a signed purchase agreement or a closing date. The 8-K includes the term sheet as an exhibit and does not include a final acquisition agreement.[1]

What does AIxCrypto say it would acquire?

AIxCrypto says it would acquire Faraday Future's robotics business for around $200 million in stock and discontinue its crypto strategy. It also says it plans to rename itself FF EAI Robotics Ecosystem Inc. and change its ticker to FFR, effective September 30.[2]

The company presents the new business as a platform built around four areas: an EAI brain and developer platform, devices, industry productivity solutions, and a data factory. The company supplied those descriptions, and no outside source has verified performance measures for the proposed business.[2]

Faraday Future reported figures for its existing robotics activity in the release, including 552 cumulative device sales and shipments by the end of August and about $1.52 million in cumulative revenue. The company labeled the figures unaudited. They do not establish the value of the proposed sale or guarantee the deal will close.[2]

What happens next for the proposed robotics sale?

The next disclosed steps are diligence, final agreements, and the approvals listed in the term sheet. The parties have not published a closing date, a definitive purchase agreement, or a final per-share transaction price.[1]

Faraday Future also scheduled a September 29 partner conference focused on its "Built in USA" robotics strategy. The company said it had invited ten global partners and would publish the conference video at 5 p.m. PDT. That event may add detail about supplier and ecosystem plans, but it does not replace the transaction conditions in the filing.[3]
